These LucyIQ Franchisor Terms & Conditions apply to the LucyIQ Franchise plan and sit on top of the standard LucyIQ Terms & Conditions (the “Standard Terms”). Where a Franchise-plan customer accepts these terms at checkout, both apply.
1. Parties and relationship
These terms are an agreement between LucyIQ (as defined in the Standard Terms — NZ company 1687454, NZBN 9429034566886) (“we”, “us”) and the franchisor (“you”) — the business that buys the LucyIQ Franchise plan to run AI agents across multiple locations. Your franchisees (“locations”) are users of the Service under your account; they are not parties to any billing agreement with us. You are our customer; they are your users.
We are your software vendor, not your franchise adviser, and not a party to your franchise system. Nothing in these terms makes us a franchisor, sub-franchisor, agent, partner or joint venturer of yours or of your locations, and nothing we provide (including any statement, report, insight or Output produced by the Service) is franchise, legal, financial or operational advice. Your relationship with your locations, including any franchise agreement, disclosure obligation or code of conduct, is entirely your responsibility.
2. What you are buying
- A Franchise HQ hub (one LucyIQ subsite you control) plus one LucyIQ subsite per location, each provisioned on the Franchise plan — a full working capability that includes its own monthly usage allowance, multiple team logins, voice, your branding, and your own support-email domain.
- The hub lets you publish canonical knowledge (your operations manual, brand standards, product information) that every location’s Agent reads, control which settings each location may change, log in to your own locations to help, and see network-wide insight.
- The price is per location per month, billed as one subscription whose quantity equals your number of locations. The hub is included at no separate charge.
- A minimum of 3 locations applies. Networks above 100 locations are handled as a separate enterprise arrangement.
3. Billing — one account, one card
- You pay for the entire network on one card, one monthly invoice. Your locations never enter a card, never receive a billing email, and never see any price, allowance or money in the product.
- Adding a location takes effect immediately and is charged pro rata to the stored card for the remainder of the current billing month; your subscription quantity increases accordingly.
- Removing a location takes effect at the end of the current paid month. Removals are not pro-rated and not refunded — the removed location keeps access until the term ends, and your next renewal bills the lower quantity.
- Capacity packs (extra usage for the network) are one-off charges to the same card and are added to your network reserve.
- If a payment fails, standard account-lapse handling applies to your whole network (grace period, then restricted access) with alerts to you. We will never automatically delete a franchise network or its hub — any deletion is a deliberate, confirmed action.
4. Recovering costs from your locations is your business, not ours
- We do not collect money from your locations and are not a party to any charge you pass on to them. Whether and how much you re-bill each location (as part of your royalties, levies or technology fees) is entirely a matter of your franchise agreement with them.
- To help, the HQ console produces a per-location statement each month (location, days active, questions answered, time saved, and how much of its allowance and reserve it used). The statement carries no dollar figure and no “share of invoice” — you calculate any re-bill yourself. It is information only — a document you drop into your own franchisee billing. We do not invoice your locations, add tax on any re-bill, or handle refunds between you and them, and we are not responsible for how you allocate or recover cost.
5. Your responsibilities
- You are responsible for the accuracy, currency and lawfulness of the canonical knowledge you publish to the hub and for its use across the network. Because that knowledge shapes what every location’s Agent tells staff and customers, you accept the “AI outputs” responsibilities in clause 6 of the Standard Terms for the whole network.
- You are responsible for your locations’ acceptable use of the Service (Standard Terms clause 7) and for the AI-transparency and deployer obligations in Standard Terms clause 8 as they apply to each location’s Agents.
- You must have the right to invite each location owner and to provision a subsite associated with their business email address, and you are responsible for your HQ staff to whom you grant elevated (“Franchise Manager”) access, and for their conduct when logging into locations.
6. What HQ can and cannot see or do (the privacy line)
This is the commitment that lets your locations trust the system with local staff questions:
- The network-wide console shows aggregates, not conversations. The HQ console shows usage numbers, attention signals (paused, near-limit, unused), and an aggregated report of questions your network’s staff asked that the manual did not answer. The console itself never displays a location’s conversation transcripts. It does show, for each team member at a location, whether they have signed in, when they were last active and how many conversations they had with the assistants: counts only, never what anyone asked.
- Reading a location’s own conversations means logging into that location — a separate, visible, audited act. When you or your HQ staff log into a location’s admin to help, you have that location’s full admin view, which includes its own conversations. That access is recorded (who, which location, when) and appears in that location’s own audit log, visible to its admin. It is not silent surveillance.
- A “Franchise Manager” can reach only your own network — never another franchisor’s locations, never the LucyIQ platform.
- You are responsible for how you use network insight. Aggregated reports are provided to help you improve your knowledge and support. You must not use them, or location access, to make a consequential decision about an individual without appropriate process, or in a way that breaches your obligations to your locations or any law.
7. Data across the network
- A location’s own local knowledge (its local facts, hours, staff answers, amendments) belongs to that location. The canonical hub knowledge you publish remains yours. Locations do not read each other’s knowledge, and a business outside your network cannot read your hub.
- For personal information flowing through the network’s Agents, the roles in Standard Terms clause 11 apply. As between us, we are the processor; as between you and your locations, you are responsible for allocating controller/processor roles and for the privacy notices and lawful basis each location’s Agents require for their End Users.
- We process network data only to provide the Service, and we do not use it to train public or third-party AI models.
8. Location exit
When a location leaves your network you choose, at removal, one of:
- Delete — the location’s subsite is removed under our standard data-retention and export rules; or
- Release — the location keeps its subsite and its own local knowledge and is given a window to take up its own standard LucyIQ plan directly, after which normal single-site Standard Terms apply.
A released or deleted location keeps only its own local knowledge and does not take your operations manual or canonical hub knowledge with it. On termination of your account, your locations are handled under this clause.
9. Acceptable use across the network
The Service must not be used, at any location, in breach of clause 7 of the Standard Terms (prohibited and high-risk uses). We may suspend a location, or the network, for a serious or repeated breach, with notice to you where practicable.
10. Term, changes and termination
- The Franchise plan renews monthly until cancelled. You may reduce or cancel as described in clause 3 (changes take effect at term end; no pro-rata refund on reduction).
- We may change these terms, the plan’s features or its pricing with 30 days’ notice; material changes will be notified to your account contact. Continued use after a change takes effect means you accept it.
11. Liability, warranties and the Standard Terms
- The Standard Terms apply to the Franchise plan in addition to these terms, including the AI-output and reliance provisions (clause 6), prohibited/high-risk use (clause 7), deployer and AI-transparency obligations (clause 8), disclaimers (clause 15), the limitation of liability and aggregate cap (clause 16), your indemnity (clause 14), and governing law (New Zealand).
- Where these franchise terms and the Standard Terms conflict, these franchise terms prevail on the franchise-specific points (billing structure, the aggregates-not-transcripts data model, and location exit); the Standard Terms prevail on everything else.
- You additionally indemnify us against any claim by a location, a location’s End User, or any third party arising from: the canonical knowledge you publish; your use of network insight or location access; how you re-bill or allocate cost to locations; or your franchise arrangements with your locations.
- Nothing in these terms limits rights that cannot be limited under the Consumer Guarantees Act 1993 / Fair Trading Act 1986; where you acquire the Service for business purposes those Acts do not apply (Standard Terms clause 15).
12. Acceptance
By ticking “I have read and accept the LucyIQ Franchisor Terms & Conditions” at Franchise-plan checkout, you confirm you are authorised to bind the franchisor business and you accept these terms and the Standard Terms. Checkout cannot complete without acceptance, and your acceptance (who, when, version) is recorded against your order.
